Terms of Service (Public Offer)

This offer is made under the laws of Ukraine, including the Law on Electronic Commerce.

Acceptance occurs when you register, sign in with Google, click to pay for a paid subscription, or complete payment on the Monobank checkout page.

The agreement is deemed concluded upon acceptance without a paper signature.

Service — the Nexis web platform for tests, games, presentations, and classroom analytics.

User — an individual (e.g. teacher) who registered for the Service.

Paid subscription — the PRO or Mentor plan with its corresponding AI credit allowance and features as described on the site.

AI credits — internal units that meter AI generations in the Service.

The Provider grants the User a non-exclusive license to access the Service according to the selected plan.

The Service provides access to functionality; ownership of the software is not transferred.

The Provider may update, change, or temporarily limit features for maintenance and development.

Current plans (Free, PRO, and Mentor), subscription prices in UAH, and per-generation credit costs are published on the pricing page and in the app.

Paid plans are charged in UAH via Monobank internet acquiring on the bank’s payment page.

Users may pay with cards from Ukrainian banks; a Monobank account is not required.

By subscribing to PRO or Mentor, you agree to recurring charges (monthly or yearly) until you cancel.

The Mentor trial is available once per account for 14 days within the limits shown on the pricing page, requires no payment card, and does not convert into a paid subscription automatically.

After successful payment, the selected plan is active for the paid period and credits are allocated per the plan.

You may cancel in account settings; recurring charges stop and paid-plan access remains active until the end of the paid period.

Because the Service delivers digital access immediately, fees for an activated paid-plan period are generally non-refundable if you used the Service (including spending AI credits).

Refund requests may be sent to mbalielov@gmail.com within 14 days of payment; decisions are made case by case under Ukrainian law.

Voluntary jar donations are not subscription payments and do not automatically activate a paid plan.

Payment confirms acceptance of services in electronic form.

Separate paper acceptance certificates are not required unless agreed otherwise in writing.

Users must provide accurate data, keep credentials secure, and not use the Service unlawfully.

The Provider will operate the Service within reasonable limits but does not guarantee uninterrupted availability during maintenance, force majeure, or third-party outages (cloud, AI, payments).

The Provider may restrict or suspend accounts for violations or abuse.

Nexis code, design, and brand belong to the Provider.

User-generated or uploaded content remains with the User; the User grants a limited license to process it solely to provide the Service.

AI output may be inaccurate; Users are responsible for reviewing materials before classroom use.

Teachers who add student data confirm they have a lawful basis to share it with the Service.

The Service is provided “as is”. The Provider is not liable for indirect damages, data loss caused by Users or third parties, or decisions based on unchecked AI content.

Total liability is limited to paid-subscription fees from the last 3 months unless mandatory law requires otherwise.

We may update these Terms; the new version takes effect when published unless stated otherwise.
